Terms, Conditions & Disclaimers

Trading Terms
All contacts and commercial activity undertaken with Bizpal Pty Ltd by its clients/customers and/or other third parties is undertaken on payment terms of 14 days from date of invoice, variation to this trading term can be made only by special arrangement given and agreed in writing between Bizpal Pty Ltd, the client/customer and/or other third parties, prior to any commercial activity being undertaken. Bizpal Pty Ltd reserves the right to raise an interim invoice for a part of the whole of any/all projects/commercial activity undertaken with clients/customers and/or other third parties as part of a staged billing process.

General Conditions
Any and all meetings and or all other interaction undertaken with/between the client/customer and Bizpal Pty Ltd shall be conducted in line with the expressions and agreements contained within the Bizpal Pty Ltd letter of engagement, together with the Bizpal Terms and Conditions, disclaimers and liability statements and as such forms a part of the contract between Bizpal Pty Ltd and the client/customer/third party. Acceptance by the client/customer/third party of these terms and conditions is given upon the commencement of any and all commercial activity and or meetings held between the client/customer/third party and Bizpal Pty Ltd and or any other commercial interaction undertaken between the client/customer/third party and Bizpal Pty Ltd. Any/all Bizpal Quotations, signed by the client/customer/third party and received by Bizpal Pty Ltd shall in turn be deemed as acceptance of the proposal and will form a part of the contract between Bizpal Pty Ltd and the client/customer/ third party, subject to the terms and conditions of Bizpal Pty Ltd.

Bizpal Pty Ltd reserves the right to vary its quotation proposal at any time after a period of twenty eight (28) days from the date of the proposal should the proposal not be accepted in the meantime by the client/customer or any other authorised third party.

Storage Media and emails
While Bizpal Pty Ltd will take reasonable care to avoid contamination Bizpal Pty Ltd warns that any storage media… that is CD-R, Floppy Disks, or emails could contain viruses and Bizpal Pty ltd accepts no liability as a consequence of any/all contamination of third party computer systems and/or electronic storage systems/equipment.

Cancellation
Cancellation of the contract by the client / customer will incur costs relevant to those expended by Bizpal Pty Ltd and/or expended by third parties on behalf of the contract. These costs will include but be not limited to all labour costs, all out of pocket expenses and all contracted third party/ supplier costs. Cancellation of the contract by the client must be received in writing by Bizpal Pty Ltd. The date of receipt is deemed to be the cancellation date.

Bizpal Pty Ltd reserves the right to cancel any contact made between itself and any client/customer/ third party at any time giving seven (7) days notice in writing of such intent. Bizpal Pty Ltd does not accept and would not accept any damages or liability associated with or from such cancellation of the contract.

Where relevant, workings, worksheets, progress reports, copy writing, printers proofs and any and all documentation relevant to the progress and correctness of the detail of any particular project/activity will be signed off by the client /customer/ third party during the course of the project/activity Bizpal Pty Ltd takes no responsibility for any errors or omissions in any and all documentation/activity relevant to any particular project/activity.

Bizpal Pty Ltd Disclaimer & Liability Statement
In no event will Bizpal Pty Ltd and or its officers be liable to any party for any direct, indirect, special or other consequential damages, howsoever occurred for any use of, or from any interaction with, Bizpal Pty Ltd, its officers and or employees during the normal course of business, and/or for any use of the Bizpal Pty Ltd Web Site under the domain name: www.bizpal.com.au and/or on any hyper linked web site and/or for any use of other electronic communication tools, used by Bizpal Pty Ltd

Bizpal Pty Ltd engages with its customers/ clients/ other third party, on the basis that its customers/clients/ other third parties, have engaged Bizpal Pty Ltd on the basis of it conducting the required commercial activities which they, the customer/client/ other third party has requested of Bizpal Pty Ltd. to undertake on their behalf.

At no time does Bizpal Pty Ltd accept liability for the commercial outcomes or any other outcomes of the work carried out on behalf of its customer/client/ other third party. Customers/clients/ other parties, who engage in any commercial transaction, whether given and or received, either in a written format or spoken format, with Bizpal Pty Ltd do so on the basis of accepting these conditions of liability and indemnifying Bizpal Pty Ltd and its officers from any liability associated with any such commercial transactions and or their outcomes.

Any and all commercial or personal decisions regarding the nature, relevancy or suitability of any information provided to the customer, client and/or any other third party, or construed by the customer, client or any other third party, during the course of any interaction with Bizpal Pty Ltd its officers and or employees are done so on the basis that the customer, client or any other third party of Bizpal Pty Ltd has completely satisfied themselves as to the suitability or otherwise of such information and its relevance to their commercial and or personal requirements.

This statement of disclaimer and liability includes, without limitation, any lost profits, business interruption, loss of computer or other data on your information handling system or otherwise and of any non computer programmes, howsoever caused, or any other business loss howsoever caused, even if we are expressly advised of the possibility of such damages.
